标准必要专利许可善意谈判规则探析

摘要：

标准必要专利的许可谈判对于促进标准的广泛实施并促进市场竞争和创新至关重要。明确标准必要专利权人与标准实施方进行善意许可谈判的义务并制定相关规则有助于解决“专利劫持”和“专利反向劫持”等问题，促进许可谈判顺利进行，提高标准实施效率。本文明确了建立标准必要专利许可善意谈判规则的必要性，分析了标准必要专利善意谈判规则的基础原则，梳理了美国、欧盟和日本关于标准必要专利善意谈判规则的实践模式，基于上述考虑提出了标准必要专利善意谈判制度框架的建构。

Abstract:

Licensing negotiations for standard-essential patents are critical to promoting the widespread implementation of standards and fostering the competition and innovation in the marketplace. Clarifying the obligations of the standardessential patent owner to negotiate in good faith with the standard implementer and formulating relevant rules can help solve the problems of “patent hold-up” and “patent reversed hold-up”, promote smooth licensing negotiations, and improve the efficiency of standard implementation. This paper clarifies the necessity of establishing the rules of good faith negotiation for standard-essential patent licensing, analyzes the principles underlying the rules of good faith negotiation for standardessential patents, compares the practice patterns of the rules of good faith negotiation for standard-essential patents in the United States, the European Union and Japan, and proposes the construction of the institutional framework of good faith negotiation for standard-essential patents based on the above considerations.
